Terms of Service
1. Acceptance of terms
By accessing or using the Seif Compliance platform and website (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use our Services. We may update these Terms from time to time; continued use after any update constitutes acceptance.
2. Service description
Seif Compliance provides a regulatory intelligence platform designed to assist ADGM-regulated financial services firms with compliance monitoring, gap analysis, regulatory change tracking, and related compliance management functions.
The Services are provided as software-as-a-service (SaaS) on a subscription basis. Specific features and service levels are as described in the applicable Order Form or Subscription Agreement entered into between you and Seif Compliance.
Important: The Services provide information and analytical tools to support your compliance function. They do not constitute legal, regulatory, or compliance advice. You remain responsible for your own compliance obligations.
3. User obligations
You agree to:
- Use the Services only for lawful purposes and in accordance with these Terms.
- Maintain the confidentiality of your account credentials and notify us promptly of any unauthorised access.
- Ensure that all users under your account comply with these Terms.
- Provide accurate and complete information when registering and keep it up to date.
- Not attempt to reverse-engineer, decompile, or extract the source code of our platform.
- Not use the Services to transmit unlawful, harmful, or infringing content.
- Not attempt to gain unauthorised access to any system, account, or data.
4. Intellectual property
All intellectual property rights in the Services, including software, content, design, trademarks, and documentation, are owned by or licensed to Seif Compliance. These Terms do not transfer any IP rights to you.
You retain ownership of data and content you upload to the Services ("Customer Data"). You grant us a limited licence to process Customer Data as necessary to provide the Services.
We may use anonymised, aggregated data derived from your use of the Services to improve our platform, provided that such data cannot be used to identify you or your firm.
5. Confidentiality
Each party agrees to keep the other's confidential information confidential and to use it only as necessary to fulfil obligations under these Terms or the applicable Subscription Agreement. This obligation survives termination.
6. Limitation of liability
To the maximum extent permitted by applicable law, Seif Compliance's total liability to you for any claim arising under these Terms shall not exceed the amounts paid by you in the 12 months preceding the claim.
In no event shall either party be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

7. Warranties and disclaimers
We warrant that we will provide the Services with reasonable skill and care and in accordance with the applicable Subscription Agreement.
To the maximum extent permitted by law, the Services are provided "as is" without warranty of any kind beyond that expressly stated. We do not warrant that the Services will be error-free, uninterrupted, or that they will meet your specific regulatory requirements.
8. Term and termination
These Terms apply from the date you first access the Services and continue until terminated. Either party may terminate for material breach upon 30 days' written notice if the breach is not cured within that period.
Upon termination, your right to use the Services ceases. We will make Customer Data available for export for 30 days post-termination, after which it may be deleted.
9. Governing law and disputes
These Terms and any disputes arising from them are governed by the laws of the Abu Dhabi Global Market (ADGM), including the ADGM Companies Regulations and English common law as applied in the ADGM Courts.
Any dispute that cannot be resolved amicably shall be referred to the exclusive jurisdiction of the ADGM Courts.

10. General
- Entire agreement: These Terms, together with any applicable Subscription Agreement and Order Form, constitute the entire agreement between the parties regarding the Services.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
